Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Torabase website at torabase.ai (the “Site”) and any prelaunch features made available through it, including the early-access waitlist (collectively, the “Service”), operated by the Torabase service (“Torabase,” “we,” “us,” or “our”).

By accessing or using the Site, or by submitting information through it, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Prelaunch Nature of the Service

The Service is offered on a prelaunch basis. Torabase is not yet generally available. The Site currently exists to describe the planned product and to allow you to register interest through the early-access waitlist.

You acknowledge and agree that:

• submitting the early-access form does not guarantee access to the product, at any particular time or at all;
• the product’s features, availability, scope, and pricing are subject to change or discontinuation at any time, without notice; and
• any descriptions of planned functionality on the Site are forward-looking, may change, and do not constitute a commitment to deliver any specific feature.

2. Eligibility

You must be at least 16 years old, or the age of majority in your jurisdiction, to use the Site or submit information through it. By using the Site, you represent that you meet this requirement and that the information you provide is accurate and belongs to you or that you are authorized to provide it.

3. Waitlist and Communications

When you join the waitlist, you consent to receive communications from us relating to early access, product availability, and related updates. You may opt out of these communications at any time using the unsubscribe mechanism in our emails or by contacting us at uday@torabase.ai. Your information is handled as described in our Privacy Policy.

4. Acceptable Use

You agree not to:

• use the Site for any unlawful purpose or in violation of these Terms;
• submit false, misleading, or another person’s information without authorization;
• attempt to gain unauthorized access to the Site, its systems, or related networks;
• interfere with or disrupt the integrity or performance of the Site;
• introduce malicious code or attempt to probe, scan, or test the vulnerability of the Site; or
• use automated means to access, scrape, or collect information from the Site without our prior written permission.

5. Intellectual Property

The Site and its contents, including text, graphics, logos, animations, design, and the “Torabase” name and branding, are owned by us or our licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, reproduce, or create derivative works from any part of the Site without our prior written consent.

Any feedback, suggestions, or ideas you provide to us regarding the Service are given voluntarily, and you agree we may use them without restriction or obligation to you.

6. No Warranties

The Site and Service are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, error-free, or available at any particular time, or that any information on the Site is accurate, complete, or current. Because the Service is in a prelaunch state, it may be incomplete, unstable, or subject to change without notice.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Torabase or those involved in operating the Service be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Site or Service, whether based on warranty, contract, tort, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for any claims arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you.

8. Indemnification

You agree to indemnify and hold harmless Torabase and those involved in operating the Service from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

9. Third-Party Services

The Site may rely on or link to third-party services. We are not responsible for the availability, content, or practices of those third parties, and your use of them may be subject to their own terms and policies.

10. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. The provisions of these Terms that by their nature should survive termination will survive, including Sections 5 through 8 and 11.

11. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them or the Site will be governed by and construed in accordance with applicable law, without regard to conflict-of-laws principles. You agree to first attempt to resolve any dispute informally by contacting us at uday@torabase.ai before pursuing formal proceedings.

12. Changes to These Terms

We may modify these Terms at any time. When we do, we will revise the “Last updated” date above and post the updated Terms on the Site. Material changes will be indicated clearly. Your continued use of the Site after the changes take effect constitutes your acceptance of the revised Terms.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Site and supersede any prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
